ContractExpress Drafter
ContractExpress Drafter is an add-in for Microsoft Word 2007/10 that enables attorneys to quickly, intuitively, and safely update a manually negotiated Word document previously generated using ContractExpress by updating answers in the ContractExpress questionnaire - all without losing their previous manual edits.
Following a change to the questionnaire, ContractExpress Drafter displays the attorney’s manual Word changes in one color and the ContractExpress generated changes in a different color:
The attorney is able to quickly and intuitively identify legal conflicts between the two sets of changes and reconcile them using Word’s standard accept/reject and Word editing – in exactly the same way as if the attorney were reconciling the editing of two independent legal reviewers.
This means that the attorney’s manual Word negotiations are not lost if ContractExpress is used to make a change best done by changing answers on the questionnaire (such as converting a one-way NDA into a mutual NDA as in the example above).
N-drafting
This legally sophisticated yet easy to use technique - unique to ContractExpress - is known as “N-drafting”. Not to be confused with the potentially legally unsafe unreviewed automatic roundtripping of changes from the output of one version into the input of the next.
